Andrew Schmerzler is a partner
in the firm's corporate and real estate department.
He has extensive experience in mergers, acquisitions
and dispositions of and for public and privately held
entities; equity and debt financing transactions, including
both public offerings and private placements (including
venture capital and mezzanine financing transactions);
and acquisitions, dispositions, financing and leasing
of real property, including acquisitions, dispositions,
financing and leasing of apartment complexes, office
buildings, shopping centers, movie theatres, amusement
parks, restaurants, retail and industrial locations.
Mr. Schmerzler also has significant experience in corporate
and securities transactions and counseling; the negotiation
and documentation of joint ventures, partnerships and
strategic alliances for public and privately held entities;
intellectual property acquisitions, licensing and financing;
and employment, consulting and stock option agreements.
Mr. Schmerzler's recent significant representations
include:
- Representation of an investment
bank in connection with the initial closing, servicing
and/or "work out" of numerous debt and equity
financings of residential and golf course developments
in southern California.
- Representation of motion picture
theatre exhibitors in the acquisition, development
and disposition of movie theatres and movie theatre
chains.
- Representation of investment
funds in the acquisition, operation and disposition
of technology and consumer product portfolio companies.
- Representation of a movie
studio in the sale of its theme park in Germany.
- Representation of a movie
studio in matters related to the sale of one of its
auxiliary studio locations, including the negotiation
and documentation of certain "take back"
financing.
- Representation of motion picture
theatre owners and specialty retailers in the negotiation
and documentation of numerous management agreements
and leases (including ground leases) for space at
a variety of locations.
- Acting as "outside"
general counsel for a number of companies, including
one of the largest motion picture advertising companies
in Los Angeles.
Mr. Schmerzler is a member of the Los Angeles County
Bar Association and the Beverly Hills Bar Association.
He received a B.A. with honors from the University of
Pennsylvania in 1986, and received his J.D. from UCLA
in 1989.
Mr. Schmerzler is a member of the Board of Directors
of The Wonder of Reading, a nonprofit organization committed
to advancing children's literacy in Los Angeles public
elementary schools.
